Non-Disclosure Agreement

Mutual Non-Disclosure Agreement

WHEREAS, the Disclosing Party possesses certain confidential and proprietary information; and

WHEREAS, the Receiving Party desires to receive disclosure of such Confidential Information for the purpose described herein; and

WHEREAS, both parties wish to establish terms under which Confidential Information will be disclosed and protected;

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Article I: Parties

This Non-Disclosure Agreement (the "Agreement") is entered into as of March 25, 2026 by and between:

Receiving Party: Acme Design Studio

Article II: Purpose

The Disclosing Party wishes to disclose Confidential Information to the Receiving Party for the following purpose:

The parties wish to explore a potential business relationship involving brand identity design services, during which confidential information may be shared.

Article III: Definition of Confidential Information

Any non-public information disclosed by either party, including but not limited to business plans, customer data, financial information, technical specifications, and proprietary methodologies.

Article IV: Obligations of the Receiving Party

The Receiving Party shall hold all Confidential Information in strict confidence and shall not disclose such information to any third party without prior written consent of the Disclosing Party.

Article V: Exclusions from Confidential Information

Information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was already known to the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party; or (d) is disclosed pursuant to a court order.

Article VI: Term

This Agreement shall remain in full force and effect for a period of 2 years from the Effective Date. The obligations of confidentiality contained herein shall survive the expiration or termination of this Agreement.

Article VII: Governing Law

This Agreement shall be governed by and construed in accordance with the laws of State of California, without giving effect to any principles of conflicts of law.

IN WITNESS WHEREOF, the undersigned parties have executed this Non-Disclosure Agreement as of the Effective Date first written above, intending to be legally bound hereby.
